Terms and conditions of use of the KEERILL.COM website

1. Regular users

1.1 As a condition of your access to and use of the Site or service, you agree that you will comply with all applicable laws and regulations when using the Site or service.

1.2 You agree to use the Site or services solely for your own private purposes. You agree that you will not copy, download, republish, sell or distribute any services or any information, text, images, graphics, video clips, audio files, directories, files, databases, lists and so on, available on or through the Site, and you will not copy, reproduce, download, compile or otherwise use the materials on the Site for the purpose of conducting a business that competes with Keerill.com or commercially exploit the content of the Site. Systematic retrieval of Site Materials from the Sites to create or compile, collect, recompile, directly or indirectly, databases or directories (whether through robots, spiders, automatic devices or manual processes) without the written permission of Keerill.com is prohibited. The use of any content or materials on the Sites for any purpose not expressly permitted in the Terms is prohibited.

1.3 You should read Keerill.com's Privacy Policy, which governs the protection and use of personal user information used by Keerill.com. You agree to the terms of the privacy policy and agree to the use of personal information about you in accordance with the Privacy Policy.

1.4 Keerill.com may allow users to access content, products or services offered by third parties through hyperlinks (in the form of linked words, banners, channels or otherwise), APIs or on third party websites. You should note that you should read the terms and conditions of those sites or the terms and conditions and privacy policies before using those sites. You acknowledge that Keerill.com has no control over these third party websites and is not responsible or liable to anyone for such websites or for any of their content, products or services provided on such online sites.< /p>

1.5 You agree not to take any action to undermine the integrity of, or unauthorized access to, Keerill.com's or any other user's computer systems or networks.

1.6 You agree not to take any action that may undermine the integrity of the Keerill.com feedback system, such as deducing a positive result for yourself, using secondary identifiers or through third parties, or leaving unfounded negative feedback about another user.

1.7 By posting or displaying any information in the content or materials on the Site, or providing any User Content to Keerill.com or our representative, you grant an irrevocable, perpetual, royalty-free, sub-licensable (through multiple tiers) license to display, transmit, distribute, reproduce, publish, copy, adapt, modify, translate, create derivative works from, and otherwise use any or all User Content in any form, media or technology now known or not currently known. You represent and warrant to Keerill.com that you have all rights and authority necessary to grant the foregoing license.

2. Members' accounts

2.1 The User must be registered on the Site in order to access or use certain services (registered user, also referred to below as a “Member”).

2.2 Upon registration on the Site, Keerill.com must assign an account and issue a member ID and password (the latter must be selected by the user upon registration) to each user. The account may have an email-only web account, with limited storage space for the member to send or receive email.

2.3 The member ID and password set is unique to one account. Each Member is solely responsible for maintaining the confidentiality and security of their User ID and password and for all activities that occur under your account. No Member may share, assign, or permit the use of your account, ID or password by another person outside of the Member's own business. Member agrees to notify Keerill.com immediately if you become aware of any unauthorized use of your password or your account or any other breach of the security of your account.

2.4 The User agrees that all activities that occur under your account (including, without limitation, posting any information, accepting any additional agreements or rules, subscribing to or making any payment for any services, submitting email using your account or sending an SMS) will be considered on behalf of the authorized member.

2.5 Member acknowledges that sharing your account with other people may cause irreparable harm to Keerill.com or other users of the Site. Member will indemnify Keerill.com, our affiliates, directors, employees, agents and representatives for any damages (including, but not limited to, loss of profits) suffered as a result of repeated use of your account. Member also agrees that in the event of repeated use of your account or Member's failure to maintain the security of your account, Keerill.com is not responsible for any loss or damage arising from such violation and has the right to suspend or terminate the member's account without consent member.

3. User Responsibilities

3.1 Each member acknowledges and agrees that: a) you have the authority and capacity to accept the Terms and Conditions; b) you use the Site and services only for personal purposes; c) the address you provide upon registration is your primary place of residence.

3.2 StAs a member, you consent to the inclusion of contact information about you in our customer database and authorize Keerill.com and our affiliates to share contact information with other users or otherwise use your personal information in accordance with the privacy policy.

3.3 Each Member represents, warrants and agrees that: a) you shall be solely responsible for obtaining all necessary third party licenses and permissions in connection with any User Content you provide; b) any User Content that you provide does not infringe any copyright, patent, trademark, trade name, trade secret or any other personal or proprietary right of any third party;

3.4 Each Member represents and agrees that the content of the User Content you provide must:

a) be true, accurate, complete and legal;

b) may not be false, misleading or deceptive;

c) does not contain libelous, defamatory, threatening, obscene, inappropriate, sexually explicit or harmful information to minors;

d) does not contain information that is discriminatory or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation or age;

e) does not violate any applicable laws or regulations (including, without limitation, those governing export controls, consumer protection, unfair competition, or false advertising) or promote any activity that may violate any applicable laws or regulations acts;

f) does not contain any connection, directly or indirectly, with any other websites that include any information that may violate the Terms.

3.5 Each Member represents, warrants and agrees that you shall:

a) carry out your activities on the site in accordance with any applicable laws and regulations;

b) conduct your business in accordance with the Terms and any applicable Additional Agreements;

c) not use the Services or the Site for the purpose of defrauding any person or entity (including, without limitation, selling stolen items, using stolen credit or debit cards);

d) not impersonate another individual or legal entity;

e) do not engage in spamming or phishing;

f) not engage in any other illegal activities (including, but not limited to, those that would constitute a criminal offense, give rise to civil or criminal liability, etc.) or encourage any illegal activities;< /p>

g) not attempt to copy, reproduce, exploit or expropriate Keerill.com's various property directories, databases and listings;

h) not engage in any activities with computer viruses or other destructive malicious devices or codes that interfere with, intercept or expropriate any software or hardware, data or personal information;

i) not include any scheme to undermine the integrity of data, systems or networks used by Keerill.com and/or any user of the Site or to obtain unauthorized access to such data, systems or networks;

j) not engage in any activity that could create any liability for Keerill.com or our affiliates.

3.6 The User agrees to provide all necessary information or materials and provide all necessary assistance and cooperation necessary to provide Keerill.com with an assessment of whether the Terms have been violated by the Member.

3.7 Member acknowledges and agrees that Keerill.com is not required to actively monitor or exercise any editorial control at all over the content of communications or materials or information created, received or made available through the Services or the Site. Keerill.com does not endorse, verify or otherwise certify the content of any comments or other materials or information made by any member. Each member is solely responsible for the content of their communications and may be held legally liable for the content of their comments or other materials and information.

4. Violations by Members

4.1 Keerill.com reserves the right, in its sole discretion, to remove, edit or reject any User Content that you submit by post or display on the Site that we reasonably determine to be unlawful, in violation of the Terms and which may expose Keerill.com or our affiliates liable, or otherwise found inappropriate on Keerill.com.

4.2 If any Member violates any of these terms and conditions and Keerill.com has reasonable grounds to believe so, then Keerill.com has the right to fine the Member or suspend or terminate the Member's account or subscription to any service without any liability. Keerill.com also has the right to limit, refuse or prohibit the use of any current or any other future service that may be provided on Keerill.com. Penalties that Keerill.com may impose include, but are not limited to, a warning, removal of any user content that the member has posted or displayed, imposition of limits on the number of product listings that the member may post or display, and restrictions on the member's use of any features any service for such period as Keerill.com deems appropriate in its sole discretion.

4.3 Without limiting the provisions of the Terms, members will be deemed to be in breach of the Terms in any of the following circumstances:

a) upon a complaint or claim from any third party if Keerill.com has reasonable grounds to believe that such Member may, intentionally or not, be unable to perform its contract with the third party, including, without limitation, if the Member has submitted untrue terms and descriptions set out in the agreement with such a third party;

b) Keerill.com has reasonable grounds to suspect that the Member used a stolen credit card or other false or misleading information in any transaction with a counterparty;

c) Keerill.com believes that user actions may result in financial loss or legal liability for Keerill.com or our affiliates, as well as other users.

4.4 Keerill.com reserves the right to fully cooperate with government authorities, private investigators and/or injured third parties in the investigation of any suspected criminal or civil offense. In addition, Keerill.com may disclose Member's identity and contact information if requested by the Government or law enforcement authorities, as a result of a subpoena or other legal action. Keerill.com shall not be liable for damages or results arising from such disclosure, and Member agrees not to take any action or claim against Keerill.com following such disclosure.

4.5 If a member violates the Terms, Keerill.com also reserves the right to publish reports of such violation on technical sites.

4.6 Each member agrees to indemnify Keerill.com, our affiliates, directors, employees, agents and representatives from any damages, losses, claims and liabilities (including legal fees on a full indemnity basis) that may arise from your submission, publication or display of your user content, using the Site or service, as well as your violation of the Terms.

4.7 Each Member further agrees that Keerill.com has no liability to you or anyone else for any User Content or other material transmitted to the Site, including fraudulent, inaccurate, misleading is misleading, inaccurate, defamatory, offensive or unlawful and that damages arising from such material shall be the sole responsibility of each member.

4.8 Each user confirms that he fully assumes the risks of conducting any sales transactions with by third parties using the Site address or services, and that it fully contemplates risks or any damage. Such risks include, but are not limited to, product and service representation, fraudulent schemes, unsatisfactory quality, failure to meet specifications, defective or dangerous products, illegal products, delay or failure to deliver on time or pay, cost of settlement, breach of warranty, breach of contract and transportation accidents Such risks also include that the manufacture, import, export, distribution, offering, display, purchase, sale and/or use of products or services offered or displayed on the Sites may infringe the rights of third parties, and the risk that the user may incur defense costs or other expenses in connection with third parties. Such risks also include the risks that consumers, other purchasers, end users of products claiming to have suffered injury or harm related to the product originally suffered by users of the Site as a result of sales transactions using the Site may suffer harm and/or put forward their claims arising from their use of such products. Each User agrees that Keerill.com shall not be responsible or liable for any losses, claims, liabilities, expenses, harm, inconvenience, transaction failures or expenses of any kind that may arise from or in connection with any transaction risks.

4.9 Users are solely responsible for all terms and conditions of transactions entered into on, through or as a result of using the Site or services, including, without limitation, payment terms, returns, warranties, delivery, insurance, fees, taxes, titles, licenses, fines, permits, processing, transportation and storage.
