Termination of Services

1.1 Keerill.com reserves the right, in its sole discretion, to remove, edit or reject any user content that you submit by mail or display on the Site that I reasonably believe to be unlawful, in violation of the Terms and which may expose Keerill.com or our affiliates to liability, or is otherwise found to be inappropriate by Keerill.com.

1.2 If any member violates any of these terms and conditions and when Keerill.com has reasonable grounds to believe so, then Keerill.com has the right to impose a fine on the Member, or suspend or terminate the Member's account or subscription to any service without any liability. Keerill.com also has the right to limit, refuse or prohibit the use of any current or any other future service that may be provided on Keerill.com. Penalties that Keerill.com may impose include, but are not limited to, issuing a warning, removing any user content that a member has posted or displayed, imposing limits on the number of product listings a member may post or display, and imposing a limit on the member’s use of any features of any service for such period as Keerill.com deems appropriate in its sole discretion.

1.3 Without limiting the provisions of the Terms, members shall be deemed to have breached the Terms in any of the following circumstances:

a) upon a complaint or claim from any third party, if Keerill.com has reasonable grounds to believe that such Member may, willfully or not, be failing to perform its contract with the third party, including, without limitation, if the Member has misrepresented the terms and descriptions set forth in the contract with such third party;

b) Keerill.com has reasonable grounds to suspect that a Member has used a stolen credit card or other false or misleading information in any transaction with a counterparty;

c) Keerill.com believes that the user's actions may result in financial losses or legal liability for Keerill.com or its affiliates, as well as other users.

1.4 Keerill.com reserves the right to fully cooperate with government agencies, private investigators and/or injured third parties in the investigation of any suspected criminal or civil offense. In addition, Keerill.com may disclose the Member's identity and contact information if requested by the Government or law enforcement, as a result of a subpoena or other legal action. Keerill.com shall not be liable for any damages or results arising from such disclosure, and the Member agrees not to take any action or claim against Keerill.com following such disclosure.

1.5 If a Member breaches the Terms, Keerill.com also reserves the right to publish reports of such breach on technical sites.

1.6 Each Member agrees to indemnify Keerill.com, our affiliates, directors, employees, agents and representatives from and against any damages, losses, claims and liabilities (including legal fees on a full indemnity basis) that may arise from your submission, publication or display of your User Content, using the Site or service, or from your breach of the Terms.

1.7 Each Member further agrees that Keerill.com will have no liability to you or anyone else for any User Content or other material transmitted to the Site, including fraudulent, untrue, misleading misleading, inaccurate, defamatory, offensive or illegal and that the damages from such material are entirely borne by each member.

1.8 Each user acknowledges that he fully assumes the risks of conducting any sales transactions with third parties using the address of the Site or services, and that he fully assumes the risks or any damages. Such risks include, but are not limited to, the presentation of products and services, fraudulent schemes, unsatisfactory quality, failure to meet specifications, defective or dangerous products, illegal products, delay or failure to deliver on time or make payment, cost of accounting, breach of warranty, breach of contract and transportation accidents. Such risks also include that the manufacture, import, export, distribution, offer, display, purchase, sale and / or use of products or services offered or displayed on the sites may violate the rights of third parties, and the risk that the user may incur defense costs or other expenses in connection with third parties. Such risks also include the risks that consumers, other purchasers, or end users of products who claim to have suffered personal injury or harm related to the product first originally obtained by users of the Site as a result of purchase and sale transactions using the Site, may suffer damage and/or make claims arising from their use of such products. Each User agrees that Keerill.com shall not be liable or responsible for any damages, claims, liabilities, costs, damages, inconveniences, transaction failures or expenses of any kind that may arise out of or in connection with any risks of the transaction.

1.9 Users are solely responsible for all terms and conditions of transactions concluded on, through or as a result of the use of the Site or services, including, without limitation, regarding the terms of payment, returns, warranties, delivery, insurance, fees, taxes, titles, licenses, fines, permits, handling, transportation and storage.

2.0 Despite all efforts to fulfill, the transaction may be terminated in the event of force majeure factors, such as: military actions, natural disasters, pandemics, actions of local authorities, moving to another place of residence, family circumstances.
